These Terms & Conditions (“Terms”) govern your access to and use of the website located at soulwirestudio.com (the “Site”) and any tools, forms, or services made available on or through it (collectively, the “Services”), operated by Soulwire Studio (“Soulwire Studio,” “we,” “us,” or “our”), based in San Antonio, Texas. By accessing the Site or using any Service, you agree to be bound by these Terms. If you do not agree, please do not use the Site or Services.

1. Who We Are

Soulwire Studio is an AI automation and digital enablement studio providing workflow automation, AI chatbot development, AI-powered websites, and related consulting services to businesses. You can reach us at hello@soulwirestudio.com.

2. Eligibility & Acceptance

By using the Site or Services, you represent that you are at least 18 years old (or the age of majority in your jurisdiction), that you are using the Site on behalf of yourself or a business you are authorized to represent, and that you have the legal capacity to enter into these Terms.

3. The Website & Free Tools

The Site may offer free interactive tools, such as an AI-generated website audit, automation audit, or newsletter-series generator (each, a “Tool”). When you use a Tool, you may be asked to submit information such as a website URL, an email address, and a preferred output type. By submitting a website URL, you represent that you own that website, or that you otherwise have the right and authority to have it analyzed for the purpose of generating the requested output.

Outputs generated by our Tools (including any audit, report, or draft content) are produced with the assistance of third-party artificial intelligence models. They are provided for informational and illustrative purposes only, may contain errors, omissions, or inaccuracies, and do not constitute professional, legal, financial, or marketing advice. You are solely responsible for reviewing, verifying, and deciding whether to use, publish, or act on any AI-generated output before relying on it.

We may apply reasonable rate limits to Tool usage (for example, per email address or per network) to prevent abuse. We may suspend, throttle, or refuse access to any Tool at our discretion, including if we suspect misuse, fraud, or a violation of these Terms.

4. Acceptable Use

You agree not to use the Site or Services to:

• Violate any applicable law, regulation, or third party’s rights;
• Submit a website, domain, or content you do not own or are not authorized to submit for analysis or processing;
• Attempt to scrape, reverse engineer, overload, or interfere with the Site, Services, or underlying infrastructure (including rate-limit or abuse-prevention systems);
• Upload or transmit malicious code, spam, or unsolicited advertising;
• Misrepresent your identity or affiliation, or impersonate any person or business; or
• Use any output generated through the Site to build a directly competing automated audit, generation, or lead-magnet tool without our written consent.

5. Client Engagements & Paid Services

Descriptions of paid services (automation builds, AI chatbot development, website development, and related consulting) on the Site are general in nature and do not themselves constitute a binding offer. Any paid engagement is governed by a separate proposal, statement of work, service agreement, or similar document signed or otherwise agreed to by both parties (a “Service Agreement”). Scope, deliverables, timelines, fees, payment terms, revisions, and ownership of final deliverables for a specific engagement are controlled by that Service Agreement. If any term of a Service Agreement conflicts with these Terms, the Service Agreement governs for that engagement.

Case studies, results, timelines, and pricing ranges shown on the Site are illustrative of past work and general starting points. They are not guarantees of future results, savings, revenue, or timelines for your specific business, which depend on factors outside our control.

6. Intellectual Property

The Site, including its design, text, graphics, logos, and underlying code (excluding client-owned deliverables governed by a Service Agreement), is owned by Soulwire Studio or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may view and use the Site for your own personal or internal business evaluation of our Services. You may not copy, reproduce, republish, distribute, or create derivative works from the Site or its content for commercial purposes without our prior written consent.

Any feedback, suggestions, or ideas you voluntarily submit to us about the Site or Services may be used by us without restriction or compensation to you.

7. Third-Party Services & Links

The Site relies on third-party service providers to operate (for example, AI model providers, website-content-analysis tools, transactional email delivery, form and CRM intake, hosting, and rate-limiting infrastructure). The Site may also link to third-party websites. We do not control and are not responsible for the content, policies, or practices of any third-party service or website. Your use of any third-party service linked from or integrated into the Site is subject to that third party’s own terms and policies.

8. Disclaimers

THE SITE, SERVICES, AND ANY TOOL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOULWIRE STUDIO AND ITS OWNERS, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR ANY FREE TOOL WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). FOR PAID ENGAGEMENTS, LIABILITY IS GOVERNED BY THE APPLICABLE SERVICE AGREEMENT.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Soulwire Studio and its owners and contractors from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or Services, your violation of these Terms, or your violation of any third party’s rights, including submitting a website or content you were not authorized to submit.

11. Termination

We may suspend or terminate your access to the Site or any Tool at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to other users, us, or third parties. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Bexar County, Texas, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. We will update the “Last updated” date above when we do. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
